By placing an order or accepting a delivery, the customer agrees to these terms and conditions. Deviations are only valid after written confirmation by Koffie St Michel.
- Quotes and prices
All quotations are non-binding and valid for 30 days, unless otherwise stated. Prices are exclusive of VAT and transport costs, unless otherwise stated. Koffie St Michel reserves the right to adjust prices in the event of changes in raw material, energy, or transport costs.
- Delivery and risk
Delivery times are indicative and not binding. Delays do not entitle the customer to compensation or cancellation. The risk of loss or damage is transferred to the customer upon delivery.
- Retention of title
The delivered goods remain the property of Koffie St Michel until full payment of the invoice. The customer undertakes not to sell, pledge, or use the goods as security until they have been paid for in full. Machines on loan or hire remain the property of Koffie St Michel and may not be moved, lent, or modified without written permission.
- Use and maintenance
The customer undertakes to use the equipment in accordance with the instructions provided by Koffie St Michel. Maintenance and repairs shall be carried out by or on behalf of Koffie St Michel. Damage caused by improper use, vandalism, or external causes shall be borne by the customer.
- Complaints
Complaints about deliveries or invoices must be reported in writing within 8 days of receipt. After this period, goods and services are deemed to have been accepted. Any defects only entitle the customer to replacement or repair, not to compensation.
- Payment
Invoices are payable within 30 days of the invoice date, unless otherwise stated. In the event of late payment, interest on arrears of 10% per annum shall be payable by operation of law and without notice of default, plus a fixed compensation of 10% of the invoice amount (with a minimum of €50).
- Suspension and termination
In the event of non-payment or non-compliance with contractual obligations, Koffie St Michel may suspend deliveries and services or terminate the agreement, without prejudice to its right to compensation and immediate repossession of loaned equipment.
- Liability
Koffie St Michel’s liability is limited to the value of the goods delivered. Indirect damage, consequential damage, or loss of profit will not be compensated.
- Force majeure
In the event of force majeure (such as strikes, fire, pandemic, transport problems, or shortage of raw materials), the performance of the agreement will be temporarily suspended without any right to compensation.
- Competent court and applicable law
All agreements are subject to Belgian law. Disputes fall under the jurisdiction of the courts of Antwerp.
